Divisi | Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Divisi app and website (collectively, the "Service"), operated by Codefarm Technologies Pvt Ltd ("we", "us", "our"), 26 Derrick Drive, Somerset West, Cape Town, 7130, South Africa.

By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to use the Service. By registering you represent that you are 18 or older and have the legal capacity to enter into a binding agreement. We may terminate accounts that we reasonably believe are held by minors.

2. Account Registration & Authentication

Registration requires a valid mobile phone number. We authenticate users via a one-time passcode (OTP) sent to your WhatsApp number — there are no passwords. You are responsible for:

Keeping your phone secure and not sharing your OTP with anyone
All activity that occurs under your account
Keeping your contact details accurate and up to date

We reserve the right to suspend or terminate accounts that violate these Terms, that we believe are fraudulent, or that are inactive for extended periods.

3. The Service

Divisi provides smallholder farmers across Sub-Saharan Africa with:

Farm and field management tools (crop planning, activity logging, pest observation)
Localised weather forecasts based on your farm's GPS coordinates
AI-generated agricultural articles and farming tips
The Taurai AI chatbot, accessible via WhatsApp
A social community feed (Hive) for sharing farming activity and advice
Push notifications for daily farming tips and account alerts

The Service is currently provided free of charge. We reserve the right to introduce premium features in the future; we will notify you before doing so.

4. AI-Generated Content & Agricultural Advice

Read this section carefully. It limits our liability for AI advice.

The Taurai chatbot and our editorial content use AI language models via our AI inference service. AI-generated content is for general informational purposes only. It is not professional agronomist advice and must not be relied upon as a substitute for qualified agronomic, veterinary, or legal guidance.

Farming outcomes depend on local soil, climate, pest pressure, and other factors that AI models cannot fully account for. We accept no liability for crop losses, financial loss, or other damages arising from acting on AI-generated content.

AI responses may occasionally be inaccurate, outdated, or incomplete. Always verify critical information with a qualified extension officer or agronomist.

5. WhatsApp Chatbot (Taurai)

Taurai operates over WhatsApp (Meta Platforms, Inc.). By messaging Taurai you acknowledge that:

Your interactions with Taurai are governed by both these Terms and WhatsApp's Terms of Service
Your messages are stored on our servers and processed by our AI service to generate responses
Taurai is an AI assistant — it is not a human, and it may make mistakes
Chatbot history is retained for 12 months and then deleted

To stop receiving messages from Taurai, reply STOP at any time. You can also contact us at developers@codefarm.africa.

6. Farm & Personal Data

You retain full ownership of your farm data. This includes your farm records, field boundaries, crop plans, activity logs, and observations. We process this data solely to provide the Service to you.

We will not:

Sell your farm data to agricultural companies, insurers, input suppliers, or governments
Use your farm's GPS coordinates for any purpose other than delivering localised features (weather, crop calendar, season detection)
Share identifiable farm data with third parties without your explicit consent

You grant us a non-exclusive licence to process your farm data as necessary to provide the Service. This licence ends when you delete your account.

7. Community Features (Hive)

The Hive feed allows you to share farm activities, comment, react, and follow other farmers. When you post content on Hive it may be visible to other users of the Service.

By posting Hive content you:

Confirm it is your own original content or that you have the right to share it
Grant us a non-exclusive, royalty-free licence to display it within the Service
Agree not to post content that is illegal, hateful, sexually explicit, misleading, or violates another person's rights

You can control the visibility of your activity posts (Public, Friends Only, or Private) via your account preferences.

We reserve the right to remove content that violates these Terms or our Community Guidelines without prior notice, and to suspend or terminate accounts that repeatedly violate them.

8. Prohibited Activities

You must not use the Service to:

Register with false or fraudulent information
Scrape, copy, or systematically extract data from the Service
Reverse-engineer, decompile, or attempt to extract source code from the app
Impersonate another user or person
Harass, threaten, bully, or harm other users
Post spam, chain messages, or unsolicited promotional content
Upload malware, viruses, or harmful code
Access or use another user's account without authorisation
Use the Service for any unlawful purpose or in violation of applicable law
Use automated bots or scripts to interact with the Service without written permission

9. Intellectual Property

All software, design, trademarks, and content created by us (including AI-generated articles) are owned by or licensed to Codefarm Technologies Pvt Ltd and are protected by copyright and other intellectual property laws.

We grant you a personal, non-transferable, revocable licence to use the Service for your own non-commercial farming purposes. You may not copy, redistribute, or commercially exploit any part of the Service without our written permission.

10. Push Notifications

If you enable push notifications, we will send you farming tips, alerts, and account updates via our notification service. You can disable push notifications at any time in your device settings or within the app.

11. Third-Party Services

The Service integrates with third-party services including WhatsApp (Meta Platforms, Inc.), push notification and cloud storage services (Google LLC), weather data, and AI inference providers. Your use of these integrations is also governed by those providers' own terms. We are not responsible for the availability, accuracy, or practices of third-party services.

The Service may link to external websites. We have no control over and take no responsibility for their content or privacy practices.

12. Availability & Changes

We aim for high availability but do not guarantee uninterrupted access to the Service. We may modify, suspend, or discontinue features at any time. We will endeavour to give reasonable notice of material changes.

We reserve the right to update these Terms at any time. We will notify you of material changes via the app or email. Continued use of the Service after the effective date of any change constitutes acceptance of the new Terms.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranty of any kind. To the fullest extent permitted by applicable law we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant the accuracy, completeness, or reliability of any AI-generated content, weather forecasts, or crop recommendations provided through the Service.

14. Limitation of Liability

To the fullest extent permitted by law, Codefarm Technologies Pvt Ltd, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including but not limited to crop losses, financial loss, or loss of data.

Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you have paid us in the 12 months preceding the claim (which, for a free service, is zero).

Nothing in these Terms limits or excludes liability that cannot be excluded under applicable law (e.g. gross negligence, fraud, or death/personal injury caused by our negligence).

15. Indemnification

You agree to indemnify and hold harmless Codefarm Technologies Pvt Ltd and its affiliates, officers, agents, and employees from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of (a) your use of the Service, (b) your Hive content or Contributions, (c) your breach of these Terms, or (d) your violation of any third party's rights.

16. Termination

You may delete your account at any time via Settings → Account → Delete Account in the app. This constitutes termination of these Terms.

We may suspend or terminate your access immediately and without notice if you breach these Terms, if we are required to do so by law, or if continued access poses a security or legal risk. Upon termination, your licence to use the Service ends and we may delete your data in accordance with our Privacy Policy.

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of South Africa. You irrevocably consent to the exclusive jurisdiction of the courts of South Africa for any dispute arising out of or relating to these Terms or the Service.

Before initiating formal proceedings, we encourage you to contact us at developers@codefarm.africa to resolve any dispute informally. We will endeavour to respond within 14 days.

18. Miscellaneous

Entire agreement. These Terms (together with our Privacy Policy) constitute the entire agreement between you and us regarding the Service.
Severability. If any provision is found unenforceable, the remaining provisions continue in full force.
No waiver. Our failure to enforce any right or provision is not a waiver of that right.
Assignment. We may assign our rights and obligations to a successor entity. You may not assign your account or rights without our consent.
